Stellantis adds two new members to its board of directors in order to improve financial oversight and tech expertise

Stellantis, a carmaker, announced on Monday that it had nominated Daniel Ramot, Alice Schroeder, and proposed the reelection of five other board members. The mandates of seven executives are coming to an end.

Ramot, an Israeli-American, is the co-founder and CEO at Via, a global company that specializes in transportation technology. Schroeder, a former managing Director of Morgan Stanley, currently serves on the board of HSBC North America.

The company stated that "the board believes Schroeder’s deep expertise in strategic leadership and financial oversight, coupled with Ramot’s extensive experience in research and technology, will provide highly valued insights and strengthen Stellantis' leadership."

Ramot and Schroeder will replace Wan Ling Martello, a Filipino-born politician from the Philippines, and Jacques Saint-Exupery of France.

This gives John Elkann - who is currently steering Stellantis as it searches for a replacement CEO following Carlos Tavares' resignation in December - a stronger grip on the automaker. It also shifts the automaker's governance from Europe, which has traditionally been its most profitable market, to the United States.

Elkann is the head of Italy's Agnelli Family, which is Stellantis largest shareholder via its investment holding EXOR. Exor is a long-time investor in Ramot Via.

Stellantis board has proposed that current executives Fiona Cicconi (CEO), Nicolas Dufourcq (Chairman), Ann Godbehere (COO), Claudia Parzani (COO) and Benoit R. Ribadeau-Dumas be re-elected.

Stellantis stated that the proposed seven nonexecutive directors would have a term of two years. They will be appointed by shareholders at their annual meeting on April 15.

Stellantis' board is made up of 11 members, including a CEO who is currently vacant. In early 2021, the world's fourth largest automaker by sales will be created through the merger between Italian-American Fiat Chrysler with France's Peugeot's owner PSA.
