Harmony Gold buys Australian Mac Copper for $1 Billion

Harmony Gold is South Africa's largest gold producer in terms of volume. It has now agreed to purchase Mac Copper Ltd, an Australian copper miner, for $1.03 billion, as part of its diversification strategy into copper.

Harmony, based in Johannesburg, said that it would pay $12.25 for each Mac Copper share as part of the cash deal. This is a premium of 20.7% over the closing price on the New York Stock Exchange last Friday. Mac Copper's board has unanimously backed the offer, according to a Mac Copper statement.

Harmony, an Australian company, said that the CSA Copper Mine, located in New South Wales produced 41,000 metric tonnes of metal last year. Harmony also stated that purchasing a mine with immediate cash flow is a good investment.

Harmony announced that the acquisition would be funded by internal cash reserves as well as a loan facility of $1.25 billion.

Harmony's shares dropped 6.3% early in the morning in Johannesburg.

Harmony has acquired a second copper project in Australia, after purchasing the Eva Copper Project in Queensland in 2022. This mine could produce between 55,000 and 60,000 metric tonnes of metal per year by 2029.

Harmony has explored options over the years to develop Wafi Golpu, a joint-owned gold-copper mine in Papua New Guinea that it owns jointly with Newmont Corp.

South African mining firms, including Gold Fields, are increasingly searching for other assets because domestic operations have become more expensive due to geological challenges posed by some of the deepest gold mines in the world.

Harmony will use its underground mining experience in South Africa to help Mac Copper expand the CSA mine.
